ProdSpur is intended for organizations managing teams, activities, incentive programs, rewards, and payout workflows.
Customer data stays yours
Customers retain ownership of their data and grant ProdSpur the rights needed to provide and improve the service.
Governed operations
Customers are responsible for user access, workforce consents, incentive configuration, and lawful use of the platform.
Summary
These Terms of Service are a high-level summary of how ProdSpur is intended to be used. If you have a separate written agreement with ProdSpur, that agreement may control.
1. Eligibility and accounts
You represent that you are legally capable of contracting and are using ProdSpur for business purposes. You are responsible for the actions of users you invite, including maintaining secure credentials and appropriate role assignments.
2. Acceptable use
- Do not use ProdSpur for unlawful, discriminatory, harassing, or harmful activity.
- Do not reverse engineer, scrape, overload, bypass, or interfere with platform security or rate limits.
- Do not send unsolicited communications through ProdSpur or misuse employee, reward, or payout workflows.
- Use role permissions, activity records, and incentive programs only for legitimate business purposes.
3. Data and privacy
You retain ownership of your customer data. You grant ProdSpur a license to process that data to provide, secure, support, and improve the service, consistent with our Privacy Policy and applicable law. You are responsible for obtaining workforce consents and notices required for your use case.
4. Fees, editions, and billing
Paid editions, support levels, rollout scope, and billing terms are governed by the applicable ordering document or written agreement. Taxes are additional where applicable. Late payments may result in suspension after notice.
5. Service availability and changes
We aim for high availability for frontline operations and may perform maintenance with notice where practicable. Beta, preview, or experimental features may change or be discontinued.
6. Rewards, payouts, and compliance
Customers control reward rules, eligibility criteria, approvals, payout workflows, tax treatment, employment implications, and compliance obligations tied to their incentive programs. ProdSpur provides tooling and audit records but does not replace legal, tax, payroll, or HR advice.
7. Warranties and disclaimers
ProdSpur is provided with commercially reasonable skill and care. To the maximum extent allowed by applicable law, we disclaim other warranties including merchantability, fitness for a particular purpose, and uninterrupted availability.
8. Liability
To the extent permitted by applicable law, ProdSpur is not liable for indirect, incidental, special, consequential, or punitive losses. Any caps or limits on liability may be governed by your written agreement with ProdSpur.
9. Termination
You may terminate according to your agreement or account process. We may suspend or terminate access for breach, security risk, unlawful use, or non-payment with notice where possible. Upon termination, data deletion or return follows the Privacy Policy and applicable agreement.
10. Governing law and contact
These terms are governed by the laws of the jurisdiction where the contracting entity is established, unless a written agreement states otherwise. For questions, write to legal@prodspur.com.
